Job Description

  • Draft board resolutions, meeting minutes, position papers, and proposals in compliance with statutory and corporate governance requirements.
  • Prepare and lodge statutory forms, returns, and other regulatory filings with the relevant authorities in a timely manner.
  • Coordinate and organise Board, General, and ad hoc meetings, including scheduling, logistics, and stakeholder communications.
  • Prepare board meeting materials, including agendas, board papers, reports, and meeting packs to support effective decision-making.
  • Maintain statutory registers, corporate records, and governance documents, ensuring accurate filing, archiving, and record management.
  • Provide company secretarial support by ensuring compliance with statutory obligations and corporate governance best practices.
  • Liaise with directors, management, and external advisers on company secretarial, governance, and regulatory matters.



The Successful Applicant

A successful Company Secretary should have:

  • Professional qualification in ICSA / CGI or MACS with at least 10 to 12 years of relevant experience in corporate / company secretarial functions.
  • Sound knowledge of the Companies Act 2016 and related statutory requirements, regulations, and corporate governance practices; experience in compliance matters is an added advantage.
  • Strong organisational skills with the ability to work independently, manage multiple priorities, and meet deadlines with minimal supervision.
  • Meticulous, proactive, and responsible, with a high level of integrity and attention to detail.
  • Excellent analytical, problem-solving, communication, and interpersonal skills, with the ability to collaborate effectively in a team environment.
  • Proficient in written and spoken English and Bahasa Malaysia.
