Job Description

  • Manage corporate governance matters and oversee the preparation and administration of Board and committee documentation.
  • Co-ordinate, draft, review, and negotiate a broad range of commercial agreements, including but not limited to sales, supply, distribution, and logistics contracts.
  • Oversee regulatory and product compliance requirements across the organization.
  • Provide legal and compliance support to ensure adherence to employment, occupational safety and health, and environmental regulations.
  • Partner with Human Resources and Operations teams to maintain compliance with labour laws and labour rights standards.
  • Advise management on dispute resolution, internal investigations, regulatory inquiries, and compliance-related matters.
  • Liaise and coordinate with external legal counsel and other professional advisors as required.
  • Develop, implement, and enhance legal and compliance policies, procedures, controls, and training programs.
  • Serve as the Group Data Protection Officer (DPO), overseeing compliance with the Personal Data Protection Act (PDPA) and General Data Protection Regulation (GDPR), conducting audits and awareness training, and acting as the primary point of contact with regulatory authorities and stakeholders.
  • Lead and support legal, compliance, governance, and risk management projects, initiatives, and special assignments across the Group.

The Successful Applicant

A successful Head of Legal & Compliance should have:

  • Bachelor's Degree in Law (LL.B.) with at least 5 years of relevant experience in legal, compliance, commercial, and/or corporate affairs functions.
  • Prior experience within manufacturing, import/export-driven businesses, warehousing, and distribution operations is highly desirable.
  • Proactive, self-motivated, and commercially minded, with excellent communication, negotiation, drafting, and stakeholder management skills.
  • Demonstrated experience in advising senior management on strategic legal, regulatory, and compliance matters, with a strong track record in developing and implementing governance, risk management, and compliance frameworks that support business objectives and sustainable growth.
  • Proven capability to operate independently and establish a legal and compliance function from inception, including designing and implementing governance structures, policies, procedures, risk management frameworks, internal controls, and compliance programmes to meet evolving business and regulatory requirements.
