Our client is seeking a highly skilled Senior Legal Counsel / Legal Counsel to provide expert legal advice and support for a leading company in the automotive sector. This role is based in Kuala Lumpur, Malaysia, and offers an excellent opportunity to work on regional and global matters.

Job Description

  • Manage and/or support mergers & acquisitions (M&A), joint ventures, and other corporate transactions, including due diligence, structuring, negotiation, and completion.
  • Provide strategic legal advice on corporate and commercial matters, aligning legal solutions with business growth objectives.
  • Draft, review, and negotiate transaction documents such as share purchase agreements, shareholders' agreements, joint venture and investment contracts.
  • Conduct legal due diligence and risk assessments for potential investments, acquisitions, and partnerships.
  • Ensure compliance with applicable local and international laws, regulations, and corporate governance requirements.
  • Manage and support post-transaction integration, including corporate restructuring and documentation.
  • Liaise with external legal counsel, financial advisors, and other stakeholders to facilitate seamless execution of transactions.
  • Monitor regulatory developments and provide updates on legal implications affecting corporate transactions.
  • Provide guidance and training to internal stakeholders on legal, compliance, and transaction-related matters.

The Successful Applicant

A successful Senior Legal Counsel / Legal Counsel should have:

  • Bachelor's degree in law from a recognized institution, with at least 6 to 10 years of relevant working experience.
  • Experience in reputable law firms and/or MNCs, particularly within the M&A practice area, is highly preferred.
  • Strong negotiation and contract management skills.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and manage complex legal matters effectively.
