Job Description

  • Maintain statutory registers and ensure timely statutory lodgements.
  • Prepare and file annual returns, financial statements, and corporate filings
  • Draft agendas, notices, minutes, and resolutions for board and general meetings
  • Coordinate AGMs, EGMs, and board or committee meetings
  • Advise directors on Companies Act 2016, Bursa Listing Requirements, MCCG, and AMLA.
  • Manage incorporations, share issuances, restructurings, and dissolutions.
  • Update constitutions and oversee corporate actions and compliance matters.
  • Liaise with SSM, regulators, auditors, banks, tax agents, and legal counsel.
  • Monitor regulatory developments and mitigate compliance and governance risks.
  • Ensure technical accuracy, portfolio management, and service quality standards.
  • Act as primary client contact, providing corporate secretarial advisory support.
  • Deliver briefings and presentations to foreign clients and investors on Malaysian corporate and compliance requirements.

The Successful Applicant

A successful Corporate Secretary, Senior Executive should have:

  • Bachelor's degree in Corporate Governance, Law, Business Administration, or a related discipline.
  • Minimum 3 to 5+ years of experience in corporate secretarial or governance roles.
  • Exposure to PLCs is an advantage but not mandatory.
  • Strong drafting skills in minutes and resolutions, with excellent stakeholder management and advisory capabilities.
  • Highly meticulous, with strong attention to deadlines and statutory records.
  • Proficiency in Mandarin/Chinese is preferred.
